             1 ARTICLE-I



1.1.1  The Foundation shall be called Janjangbureh Foundation, established to unify and voluntarily mobilize all descendants, residents, and well-wishers of the township of Janjangbureh and the surrounding villages, The Gambia, West Africa for the ultimate purpose of enhancing development activities.

1.1.2  The main objectives of Janjangbureh Foundation shall include, but not limited to, the promotion of socio-economic development through charity, education, environment, recreation, protection of plants and animals, and/or any other cultural and/or social activities for the advancement Janjangbureh and its surrounding communities. 


1.1.3  Janjangbureh Foundation shall be non-profit, non-political and shall not seek any formal affiliation with a political party either inside or outside The Gambia. 

1.1.4  Janjangbureh foundation shall encourage its beneficiaries to promote diversity                         and equal opportunities for both males and females whilst also encouraging the education                                 of girl child within the communities who are the most deprived.

1.1.5  Janjangbureh Foundation shall promote religious tolerance, racial and ethnic equality within the communities whilst promoting the upkeep of cultural heritage of individual ethnicities.


1.1.6  Janjangbureh Foundation shall engage in activities which aimed at promoting health and saving of citizens lives, human rights activities, relief of poverty and encourage capacity building of individuals and or groups within the communities.


1.1.7  Janjangbureh Foundation shall empower communities to initiate their own projects and programmes through bottom up approaches in order to avoid or limit white elephant projects in the communities




1.2.1 All funds generated or raised, and property owned by the Association, shall be applied solely towards the promotion of its main objectives, and no portion thereof shall be paid or transferred, directly or indirectly, by way of dividend, bonus, or otherwise, to members of the association or its affiliated branches.


1.2.2 No member shall be entitled to receive any salary or remunerations for services rendered or executed in the name of Janjangbureh Foundation. 


1.2.3 The Foundation shall establish branches and sub-branches as may be necessary for carrying out its mandate and objectives.




1.3.1 Provisionally, all funds collected shall be utilized for charitable and other causes earmarked by the Association’s members and for any activity that could contribute towards the development of Janjangbureh Township. 


1.3.2 All authorized expenses incurred by the Association shall be disbursed through the Chief Financial Officer or as directed by the Executive Board and all no less than two signatories shall be designated for payment out of Bank Accounts held by the Association. 


1.3.3 Notwithstanding clause ARTICLE-I, Section 1.2.2 a member shall be reimbursed for the expenses incurred or incidental to, an assignment approved by the Executive Board, if he or she applied personal funds at the request of the Executive Board or for payments in good faith for the services actually rendered to or on behalf of the Association. 




1.4.1 The Motto of Janjangbureh Foundation shall read “Together we can make a difference”.


            2 ARTICLE-II




2.1.1 Membership shall be open to all, subject to the payment of annual membership dues as stated in this Constitution. There shall be two types of membership, Active and Non Active.


2.1.2 Active Membership – A member who paid their one-time membership fee and annual subscription.


2.1.3 Non Active Membership – A member who only paid their membership fee but not the annual subscriptions.


2.1.4 To become a member there shall be a one-time membership fee of £10 or $15 or €12 or D25.


2.1.5 Only Active Members shall exercise voting rights or hold Executive positions in the Association.


2.1.6 A Member shall be considered an Active Member and a voting Member, if his/her annual dues are paid on or before December 31st of every calendar year.


2.1.7 A Non Active Member shall not be eligible for nomination for elections, or re-elections as Executive Board member(s), or part of any decision making process.




2.2.1 Annual Membership subscriptions, once paid, are non-refundable. The assessed Membership dues shall be the following:


2.2.2 £50 (Fifty Pounds) in the United Kingdom.


2.2.3 €60 (Sixty Euros) in other European countries.


2.2.4 $70 (Seventy Dollars) in the America.


2.2.5 £50, €60 or $70 (same as above) in Asia or Australia.


2.2.6 D200 (Two hundred Dalasis) in Africa.




2.3.1 Members are encouraged to make donations voluntarily, other than the payment of their dues, and these may be in the form of cash, materials, and services. 




2.4.1 Fundraising activities shall be conducted to supplement funds of the Association; all funds raised shall be utilized in executing projects and other activities identified by the Association. The Association shall always be looking for lawful ways of increasing its financial and material resources.

2.4.2 Janjangbureh Foundation shall raise funds through membership subscriptions, request for donations from members and well-wishers.  


2.4.3 Janjangbureh Foundation shall also raise funds through philanthropist, other charities and grants that may be received by the Foundation. 




2.5.1 Janjangbureh Foundation's website shall be hosted as and will be managed and maintained by a Webmaster and a group of Editors. 


            3 ARTICLE-III




3.1.1 Given the diverse geographical location of Members, all available and affordable means of communication, including; conference call, the website’s forum, and any possible physical gathering of a handful of Members shall be utilized to conduct meetings and communicate activities. 


3.1.2 All meetings shall be chaired, in the following order, namely: By the President or in his/her absence, the Vice President, or Secretary-General as the case may be.  


3.1.3 Meetings shall be held as often as necessary, however, Executive Officers must meet at least once each month.

3.1.4 Quorum shall be no less than four Members of the Executive Board for Board meetings, and by a simple majority, for all general meetings.  


3.1.5 The president or Executive Board may call emergency meetings by giving members 24 hours’ notice if necessary, if the business at hand could not be deferred until the next regular schedule meeting.


3.1.6 Decisions or resolutions(s) of emergency meetings must also be tabled to the general Members, for ratification or approval at the next general meeting. 


            4 ARTICLE-IV




4.1.1 PRESIDENT – The president shall be responsible for: The effective and efficient operation of Janjangbureh Foundation and the effective execution of its goals. Preside at meetings and shall have a casting vote in the event of a tie on an issue put to the vote. Coordinate the day to day activities of Janjangbureh Foundation. Liaising with the Executive in appointing committees. Shall be the custodian of the constitution of the Foundation He shall be the first point of contact for the Foundation and all forms 0f correspondence must be address to him.


4.1.2 VICE PRESIDENT – The vice president shall: Carry out the functions of the President in the absence of the latter. shall preside over ad hoc committees and ensure all tasks are completed in the right manner and on time. Shall assume the responsibilities of the President in his absence. Shall constitute and preside over disciplinary matters of the Foundation.


4.1.3 SECRETARY GENERAL – The secretary general shall: Assist the President and Vice President in the execution of their functions. Keep minutes of meetings and correspondence regarding the Association. Ensure that notices to the general membership are issued in a timely manner and in accordance with the constitution. Work closely with all Officers to ensure the proper record keeping for Janjangbureh Foundation including the membership list and status.


4.1.4 DEPUTY SECRETARY GENERAL – The deputy secretary general shall: Assist and take over responsibilities in the absence of the Secretary-General. Shall keep records for ad hoc committees and submit them to the Secretary after completion of tasks Shall preside over ad hoc committees in the absence of the vice president and the deputy social secretary. Shall liaise with the Project manager and ensure all relevant documents including receipts are submitted to the secretary.


4.1.5 CHIEF FINANCIAL OFFICER – The chief financial officer shall be responsible for: Collecting membership dues, maintaining strong financial management benchmarks including overseeing bank account (s). Ensuring accountability and transparency of all financial disbursements pursuant to the Association's undertakings. Handling financial matters of the Association. Maintaining regulatory supervision of the day to day financial operations of the Association. Overseeing and/or outsourcing the preparation of the Association’s annual income taxes for the respective tax jurisdictions. Working with the Executive on the selection of financial officers to be designated in all the geographical locations of the general membership. Providing an annual statement of account at the end of each financial year and subjecting same for auditing.


4.1.6 DEPUTY CHIEF FINANCIAL OFFICER – The deputy chief financial officer shall: Assist and take over responsibilities in the absence of the Chief Financial Officer. Shall ensure proper record keeping of ad hoc committees. Shall prepare and present financial statements of ad hoc committees Shall preside over ad hoc committee meetings in the absence of

                  the vice president, deputy social secretary and the deputy secretary general


4.1.7 SOCIAL SECRETARY – The Social Secretary shall: Plan, execute and oversee fundraising activities as well as liaise with current & prospective donors. Work with Association members to help raise funds anywhere lawfully permitted. Recommend dates, generate ideas and policy proposals for fund-raising ventures. Confer with the Executive Board first before communicating ideas to the general membership. Work with the Executive on the creation of a fundraising committee. Oversee the management of all sporting and cultural activities. Liaise with the Executive Board for setting up a sporting and cultural committee.


4.1.8 DEPUTY SOCIAL SECRETARY – The Social Secretary shall: Assist and take over responsibilities in the absence of the Social Secretary. Chair ad hoc committee proceedings. Shall assume the full responsibilities of the social secretary in his/her absence Shall do the record keeping in the absence of the deputy secretary 


4.1.9 AUDITOR – The auditor shall be a competent individual in the field of Auditing and shall: Be responsible for auditing the Association's financial records. Conduct a bi-yearly audit to be certified by a trusted person to be designated by the Executive Board members not actively holding any executive position before presenting to the general public. At any time request an audit of the Association’s accounts by giving a 48-hour notice when fraud or misappropriation of funds are suspected.


4.1.10 DIGITAL AND MEDIA COORDINATOR – The digital and media coordinator shall: Maintain and update information on the organization's website with the help of the Webmaster and a team of editors as per the direction of the Executive Board. Run and maintain the association’s digital platforms. Must consult the executive committee before publishing on the website


4.1.11 PROJECT MANAGER – The project manager shall be responsible for: The planning and supervision of projects. Managing projects and budgetary outlays as designed by the Association. Identifying resources needed and assign individual responsibilities for the successful implementation of project proposals. Ensuring project documents are complete, current, shared with the Association and in safe keeping. Liaising with the Executive Board for setting up a project management committee.


4.1.12 POLLING OFFICERS – The pooling officer shall: Organize the election of the Executive Board in such a manner as to ensure the complete secrecy and fairness of the voting procedure. The elections shall take place every three years coinciding with the anniversary of the previous election date. Receive the ballots, count the votes immediately, and report the results of the elections in writing to the Executive Board within twenty-four (24) hours. Be nominated and elected at the Annual General Meeting from among paid up members of the Association except that no member of the Executive Board may become a Polling Officer. Be eligible for re-election after an initial mandate of three years. If for any reason whatsoever, the number of Polling Officers falls to one, the Executive Board shall convene an Extraordinary General Meeting for the purpose of filling the vacancies. Nominations of Executive Board shall be accompanied by a declaration in which the nominee undertakes, if elected, to serve as a member of the Executive Board to fulfil his/her obligations and to respect the wishes of the voters. If a member of the Executive Board resigns, the Polling Officers shall immediately conduct a by-election to fill the vacancy. If the President resigns or is recalled, the Vice-President shall immediately assume the functions of the President, pending the elections of a new President. Such election shall be conducted within thirty (30) days of the resignation or recall. The Polling Officers shall invite nominations for membership of the Executive Board comprising the President, Vice President, Secretary General, Deputy Secretary-General, Chief Financial Officer, Deputy Chief Financial Officer, Fundraising Officer, Auditor, Public Relations Officer, Project Manager and Sports & Cultural Officer from the general membership of the Association pursuant to Article II except that only paid up members may become members of the Executive Board. The Polling Officers shall send to each paid up member of the Association at least seven (7) days before the date of election, a notice showing the names, recent photographs, and a brief biography of each candidate duly nominated for offices on the Executive Board.


4.1.13  ADVISORY BOARD – The Advisory Board may consist of Non Members of the association and shall: Advice the Executive Board on matters arising within the association. Not lobby or influence the decision of the Executive Board.


              5 ARTICLE-V




5.1.1 Projects to be identified at the beginning of each year following appraisals of target areas and in consultation with the natives of Janjangbureh on the ground.


5.1.2 Projects to be prioritized based on the availability of financial resources and the top three shortlisted by the Executive Board shall then be subjected to vote by active. The funds will then be assign to the winning project for implementation.


5.1.3 If there isn’t sufficient funds to implement the winning project, then the Executive Board shall either raise more funds, roll over the funds to the subsequent year, or  assign funds to the project with the second highest votes.


5.1.4 Funds and materials to be physically delivered in Janjangbureh based on the recommendation of the project committee(s).


5.1.5 Local businesses and workers in Janjangbureh and the surrounding shall be given prior consideration by way of tender for any projects, and in the absence any such expertise relevant to the project at hand, outside contractors shall be considered following recommendations by the Executive Board. 


              6 ARTICLE-VI




6.1.1 The Polling Officers shall call for nominations from members of the Association for membership of the Executive Board at least three months before a General Election.


6.1.2 Nominations shall be open for two weeks before the General Elections; any nomination received after that shall be deemed invalid.


6.1.3 Self-nominations must be supported by another member of the Association before eligibility to run for office.


6.1.4 All nominees must be 18 years of age or older.


6.1.5 The Executive Board shall be elected by a democratic process of one vote per active member.


6.1.6 Elections shall be conducted through the means of Internet (Electronic) balloting/voting. Local members without internet access can cast their votes through a process identified by the Polling Officers.


6.1.7 The Polling Officers shall certify the results and make an announcement to the general membership immediately following the elections.


6.1.8 Executive Members shall hold positions for a maximum term of three (3) years renewable.


6.1.9 Any Executive Board or Active member shall be subject to immediate termination and/or disqualification as a Member upon embezzlement of Janjangbureh Foundation funds pending investigations and/or legal action.


6.1.10 Executive Board members shall be relieved from their duties by a two-third majority of the general membership if they’re deemed not to be fulfilling their official roles.


6.1.11 Any Executive Board member that misses three (3) consecutive meetings without a reasonable excuse shall be considered unfit to hold such office and may be relieved of their position, by a resolution of the Board.


6.1.12 The Executive Board shall be responsible for replacing a Board member in the case of resignation, or any other reasons warranting replacements unless otherwise stated in the constitution until elections are formally conducted by the Polling Officers.

6.1.13 No executive member shall be eligible for re-nomination or re-election for three years from the last dy of their 2nd term of leaving office.






7.1.1 Funds of the Association shall not be utilized for individual or business gains.


7.1.2 The Association shall belong to no political organization or participate in any activities promoting political interests in contravention of the broad goals and objectives of the general membership.


7.1.3 The Association shall remain independent from political interference or any other interventions representing the interests of a few at the expense of the collective interests of the general membership.


7.1.4 No member shall use the Association or any other member's information for personal or any other business dealings of any kind. Each member must act honestly, in good faith and must exercise the powers reposed in him or her regarding the management and representation of the Association in its interest and for its benefit. A member shall not act outside the powers and objectives enumerated in this constitution.


7.1.5 Members must, furthermore, avoid any conflict between their interests and those of the Association, and in particular shall not derive unwarranted personal economic benefit from the Association, nor compete with it in its normal activities.


               8 ARTICLE-VIII




8.1.1 The association shall meet once every year at a place determined by the Executive Board.


8.1.2 The quorum for the annual general meeting (AGM) shall consist of two-third of both the general members and the Executive Board.


8.1.3 Projects shortlisted by the Executive Board as described in ARTICLE-V shall be voted on by the members during the AGM.


              9 ARTICLE-IX




9.1.1 Upon its dissolution, the assets of the Association remaining after the satisfaction of all its liabilities shall be given to the Town Development Committee (TDC) resident in Janjangbureh.  In the absence of a TDC, the remaining assets shall be determined by the local elders of Janjangbureh and the surrounding communities. 


9.1.2 Janjangbureh Foundation shall be dissolved if three-quater of the active members withdraw their membership, or are inactive; or incapacitated or by voting.


              10 ARTICLE-X


10.1.1 A member of the Association may resign at any time by giving a written notice to the Executive Board.

10.1.2 The resignation shall take effect from the date of receipt of the notice or at a later date specified by the resigning member. 

              11 ARTICLE-XI


11.1.1 Any member may call for an amendment of this constitution, if the motion is supported by not less than two-third of active members.

11.1.2 Amendments to this constitution must be approved by a two-thirds majority vote of the membership and the Secretary-General will make the necessary amendments.

11.1.3 In emergency cases, the Executive Board members can amend this constitution, with two-thirds majority.

             12 ARTICLE-XII


12.1.1 This constitution and any amendments shall only take effect after it is presented to the general-members reflecting the change and must be agreed by three quarter of the active members including the executive members before ratification.


12.2.1 This Constitution was accepted and adopted by a simple majority of Janjangbureh Foundation and was signed by:
